1. Who these terms are between
These terms govern use of Cosavio by a subscribing firm and its authorised users. They are between WOWL LIMITED, trading as Cosavio (company number SC770389, registered office 5 South Charlotte Street, Edinburgh, EH2 4AN) — "we", "us" — and the firm that subscribes — "you".
Cosavio is sold to accountancy practices and to individuals. Some subscribers — a sole practitioner, or someone managing their own companies — contract as consumers. Where you do, the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you rights that these terms cannot reduce. Section 12 sets out what those rights are and where they override anything else written here.
Where a term applies only to business subscribers, or only to consumers, it says so.
2. What Cosavio does
Cosavio helps accountancy firms manage company secretarial compliance for the companies they act for: tracking Companies House deadlines, preparing statutory filings, maintaining statutory registers, and managing identity verification of directors and PSCs.
3. What Cosavio does *not* do — read this
These limits are how the product genuinely works today and are stated plainly rather than buried:
- We do not submit filings to Companies House or HMRC on your behalf. Cosavio prepares filings and records that you have filed them. Marking a filing as filed is your record that *you* submitted it. Until we say otherwise in writing, submission remains your action.
- We are not your compliance officer. Deadlines and statuses are derived from Companies House data and our own rules engine. They are a tool to support your professional judgement, not a substitute for it. You remain responsible for your clients' statutory obligations.
- Identity verification confirms identity with our verification provider. That is a different thing from a Companies House identity verification or a personal code being issued, and Cosavio shows the two separately. We do not represent that a verification we record satisfies Companies House unless a Companies House personal code or authorised agent confirmation is recorded.
- We do not provide legal, accounting or tax advice.
4. Your account and your users
You are responsible for: the accuracy of data you enter; keeping credentials secure; the acts of your authorised users; and removing users who leave. Roles and approval permissions are yours to configure and enforce.
5. Your clients' data
You are the controller of the company, officer, PSC and verification data you manage in Cosavio; we process it on your instructions. Our Privacy Policy explains this split. Where you are the controller and we process on your behalf, UK GDPR Article 28 requires a written data processing agreement between us. We will provide one and enter into it with you on request; until we have, these terms and our Privacy Policy record the same commitments — we process only on your documented instructions, keep the data confidential, apply the security measures described in the Privacy Policy, engage subprocessors only as listed there, assist you with data-subject requests, and return or delete the data when our agreement ends.
You confirm you have a lawful basis to provide us with the personal data of your clients' officers and PSCs, and to instruct identity verification.
6. Fees
Plans and prices are on our pricing page and are in pounds sterling.
- Trial. New accounts get 30 days free. No card is required to start.
- Billing period. Monthly or annual, in advance. An annual plan is charged the equivalent of ten monthly payments.
- Payment. Card payment is taken by our payment provider. We never see or store your card details.
- If payment fails. We will tell you and retry. If it stays unpaid, your account becomes read-only rather than being deleted — you keep access to your data and can export it.
- Price changes. At least 30 days' notice before a change takes effect at your next renewal. You may cancel before it applies.
- Company limits. Each plan includes a number of companies. Going over the limit prompts an upgrade; it never deletes or hides data you already have.
7. Availability
We work to keep Cosavio available and will notify planned maintenance where practical. We do not currently offer a contractual service level, and we say so plainly rather than implying one.
If you are working to a statutory deadline, do not leave it to the last day and do not treat our availability as a guarantee. Section 3 explains what Cosavio does and does not do; submission to Companies House or HMRC remains your action.
8. Intellectual property
We own Cosavio and everything in it except your data. You own your data. You grant us the licence needed to host and process it to provide the service. On termination you may export your data. We keep it available to export for 30 days after your subscription ends, and will not delete it inside that window.
9. Liability
Nothing in these terms limits liability that cannot lawfully be limited. That includes death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and — if you are a consumer — your statutory rights under section 12.
Read this section together with section 3. Cosavio supports your professional judgement; it does not replace it, and it does not file on your behalf.
If you are a business subscriber:
- We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or penalties or claims arising from a statutory deadline you did not meet.
- Our total liability in any twelve-month period is limited to the fees you paid us in the twelve months before the claim arose.
- We are not liable for data that Companies House or HMRC publishes incorrectly, or for a filing you chose to submit or not submit.
If you are a consumer: we are responsible for loss you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable. We do not exclude or limit our liability to you in any way that the Consumer Rights Act 2015 does not permit.
10. Termination
You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then. If you are a consumer, section 12 also gives you a 14-day right to cancel a new subscription.
We may end your subscription by giving you 30 days' notice, or immediately if you materially breach these terms and do not put it right within 14 days of being asked, or if required by law.
After it ends: your data stays available to export for 30 days (section 8). Sections 5, 8, 9, 11 and 12 continue to apply.
11. Governing law
These terms are governed by the law of Scotland, which is where WOWL LIMITED is registered.
For business subscribers, the courts of Scotland have exclusive jurisdiction.
If you are a consumer, you may bring proceedings in the courts of the UK nation where you live, and the law of that nation applies to the extent it gives you protection these terms cannot remove.
12. If you are a consumer
This section applies where you subscribe as an individual rather than in the course of a business. Where it conflicts with anything else in these terms, this section wins.
Your 14-day cancellation right. You may cancel a new paid subscription within 14 days of starting it, for any reason, and get a full refund. Tell us at support@cosavio.com — no form or wording is required. If you asked us to start the service inside those 14 days, we may charge you a proportionate amount for what you used before cancelling.
Your statutory rights. Under the Consumer Rights Act 2015 the service must be provided with reasonable care and skill, match how we described it, and be provided for a reasonable price where none was agreed. If it is not, you may be entitled to a repeat performance or a price reduction. Nothing here affects those rights.
Unfair terms. Any term that is unfair under the Consumer Rights Act 2015 does not bind you.
Complaints. Contact support@cosavio.com first. If we cannot resolve it, you may use the Chartered Trading Standards Institute's alternative dispute resolution service, and you retain the right to go to court.
